Angkop Partner Program Agreement

Flexible Natural Stone™ — Pioneer Canadian Distributor | Angkop Corp

The standard is simple. Sixteen (16) panels. Paid in full. One transaction.
This minimum applies to every option in this Program — no exceptions, no workarounds.

Who This Is For

The Angkop Partner Program is built for professionals who specify, install, or recommend premium architectural surface systems — general contractors, interior designers, architects, developers, and trusted referral partners. It is structured, transparent, and entirely non-MLM. You earn on product sold. Nothing else.

1. Program Options

Choose the structure that fits your role. You select one.

Option A — Referral Only

The cleanest entry point.

  • Refer a client who purchases 16 or more panels in a single transaction, paid in full.
  • You receive a one-time 20% commission on Net Revenue for that transaction.
  • No recruiting. No downlines. No overrides. No sub-partner commissions.

Option B — Dealer / Trade Partner

For builders and designers who purchase direct.

  • You purchase Flexible Natural Stone™ panels directly from Angkop at a 20% discount off the product subtotal.
  • Minimum: 16 panels per transaction, paid in full, to activate the discount.
  • You set your own resale price. You keep the margin.
  • No referral commission is paid under this option.
  • Taxes, shipping, freight, insurance, and duties are excluded from the discount.

Option C — Referral + Discount

The full-value option for high-trust referral relationships.

  • Your referred client purchases 16 or more panels in a single transaction, paid in full.
  • The client receives a 20% discount off the product subtotal.
  • You receive a 20% commission on Net Revenue (calculated after the discount and all applicable exclusions).
  • No recruiting. No downlines. No overrides. No sub-partner commissions.

2. How Commissions Are Calculated

Qualifying Transaction

A single purchase of sixteen (16) or more Flexible Natural Stone™ panels, paid in full. Deposits, partial payments, and instalment arrangements do not qualify unless full payment is received.

The Formula

  • Gross Price — the selling price before any discounts.
  • Net Revenue — Gross Price, less the 20% discount (where applicable), less taxes, shipping, freight, insurance, duties, refunds, credits, and post-sale adjustments.
  • Commission = 20% × Net Revenue.

Non-MLM Confirmation

This Program carries no overrides, no recruitment bonuses, no downlines, and no sub-partner commissions. Compensation is tied exclusively to actual product sales completed and paid under this Agreement.

3. Referral Attribution

  • One referrer per transaction. No exceptions.
  • Attribution must be recorded by Angkop before or at the time of sale — via intake form, CRM record, email, or written documentation. Late attribution claims are ineligible.
  • In the event of conflicting claims, Angkop's records are final and binding.

4. What Is Not Covered

Commissions are never payable on: taxes · shipping and freight · insurance · duties · refunded amounts · cancelled orders · chargebacks · credits · post-sale price adjustments.

If a transaction is partially or fully refunded, cancelled, or charged back, Angkop may offset, withhold, or recover any related commission.

Angkop reserves the right to refuse, reduce, or reverse any commission where fraud, misrepresentation, unethical conduct, policy violations, or improper attribution is reasonably determined — including self-referrals by the Partner, their spouse or common-law partner, or any entity they own or control.

5. When You Get Paid

Commissions are released after two conditions are met:

  • Customer payment has fully cleared.
  • The 60-day chargeback and adjustment window has expired without incident.

Payment is made by Interac e-Transfer, EFT, cheque, or another method designated by Angkop.

6. How You Represent the Brand

  • No earnings claims. Do not imply guaranteed income, profits, or returns from this Program.
  • CASL compliance. You are solely responsible for obtaining marketing consents, maintaining suppression lists, and honoring unsubscribe requests.
  • Brand accuracy. Represent Flexible Natural Stone™ truthfully and professionally. No false, misleading, or unsubstantiated claims.

7. Confidentiality

As a Partner, you agree to keep the following strictly confidential: pricing and discount structures · dealer and trade partner lists · customer and lead information · marketing plans and launch timelines · internal processes and business strategies.

Confidential Information may only be used to perform under this Agreement and must be protected from unauthorized disclosure.

8. Intellectual Property

Angkop may provide approved marketing materials for your use. You receive a limited, non-exclusive, revocable license to use those materials solely for promoting Flexible Natural Stone™ under this Program. No other use is permitted.

9. Your Status as an Independent Contractor

  • You are an independent contractor — not an employee, agent, franchise, or partner of Angkop Corp.
  • You are solely responsible for your own income taxes, GST/HST obligations, CPP contributions, and all other statutory remittances.
  • Where required by law, you must provide Angkop with a valid GST/HST registration number.
  • You have no authority to bind Angkop, sign on Angkop's behalf, or make commitments or representations on behalf of Angkop.

10. Term, Exit, and Non-Solicitation

Either party may terminate this Agreement at any time with written notice.

Upon termination, you immediately cease use of all Angkop branding and materials. Earned commissions remain subject to Sections 4 and 5.

For 12 months post-termination, you may not solicit any Angkop customer, lead, dealer, trade partner, or referral partner for the purpose of diverting business from Angkop or competing sales of substantially similar products.

11. Limitation of Liability

Neither party is liable for indirect, incidental, consequential, special, or punitive damages. Total aggregate liability is capped at the total commissions paid under this Agreement in the preceding 12 months.

12. Legal Framework

Governing Law: Province of Alberta and applicable federal laws of Canada.
Relationship: Independent contractors only. No employment, partnership, joint venture, franchise, or agency is created.
Amendments: In writing, signed by both parties.
Severability: Invalid provisions do not affect the remainder of this Agreement.
Entire Agreement: This document supersedes all prior discussions and arrangements relating to the Angkop Partner Program.
